  6. Submitting information to Capital Safety. Please see our Privacy Statement for an explanation of how Capital Safety collects, uses, discloses, transfers and stores your personal information. With respect to confidential, proprietary or any other information (excluding personal information), unless you have another written agreement with Capital Safety related to the sharing of such information, it will be deemed to be NON-CONFIDENTIAL. BY TRANSMITTING TO CAPITAL SAFETY INFORMATION (OTHER THAN PERSONAL INFORMATION) VIA THIS WEBSITE OR OTHERWISE THROUGH ELECTRONIC MEANS WITHOUT A WRITTEN AGREEMENT WITH CAPITAL SAFETY RELATING TO YOUR SUBMISSION, YOU UNDERSTAND AND AGREE THAT CAPITAL SAFETY MAY USE THAT INFORMATION FOR ANY PURPOSE WHATSOEVER WITHOUT OBLIGATION TO YOU.
  7. Governing Law. These Terms of Use shall be governed by and construed in accordance with the laws of the State of Minnesota without regard to its conflict of laws provisions. The exclusive venue for any action relating to these Terms of Use shall be the state and federal courts in Hennepin County, Minnesota, and each party expressly consents to the jurisdiction of such courts.
  8. Severability. Should any term of these Terms of Use be declared void or unenforceable by any court of competent jurisdiction, such declaration shall have no effect on the remaining terms hereof.
  9. Assignment/Change of Control. These Terms of Use may not be assigned, nor may any of your obligations under these Terms of Use be delegated, in whole or in part, by you by operation of law, merger, or any other means without Capital Safety's express prior written consent and any attempted assignment without such consent will be null and void. Capital Safety may, without notice to you, assign these Terms of Use. Further, Capital Safety may perform all obligations, if any, to be performed by Capital Safety under these Terms of Use directly or may have some or all obligations performed by its affiliates, agents and/or independent contractors.
  10. No Third Party Beneficiaries. The parties do not intend any third party to be a third party beneficiary under these Terms of Use, and nothing in these Terms of Use shall be construed for any third party to be a third party beneficiary or to confer any third party beneficiary rights or status on any third party.

  12. No Waiver. The failure of either party to enforce any rights granted hereunder or take action against the other party in the event of any breach hereunder shall not be deemed a waiver by that party as to subsequent enforcement of rights or subsequent actions in the event of future breaches.
  13. Export Restrictions. You must comply with all export and re-export restrictions and regulations of the Department of Commerce and other United States agencies and authorities that may apply to the Website.
  14. Legal Restrictions. Some countries and jurisdictions do not allow the conditions, limitations, disclaimer, or exclusion of implied warranties, representations, or conditions, so some of the disclaimers, exclusions, limitations, and/or obligations in these Terms of Use may not apply to you. In such case: (i) the conditions, limitations, disclaimer, or exclusion of implied warranties, representations, or conditions shall not be invalidated or nullified but be revised and remain valid and enforceable such that they are effective to the greatest extent as permitted under applicable law, and (ii) if any implied warranties or conditions would then otherwise arise, such implied warranties and conditions will be limited in duration to ninety (90) days, or if applicable law requires a longer time period, the shortest legally required time period.
  15. Amendment. Capital Safety may amend these Terms of Use at its sole discretion by posting the revised terms on the Website. Your continued use of the Website after any amendment evidences your agreement to be bound by it.
